Terms of use and subscription

1. Scope

These terms apply to the use of coOrgChart, provided by compleo consulting GmbH, Allmendstrasse 2, 6062 Wilen (Sarnen), Switzerland (“compleo”), by companies and organisations (“customer”). coOrgChart is offered to businesses only.

2. Product

coOrgChart is a SharePoint Framework web part. The customer installs it in its own Microsoft 365 tenant, where it runs in the users’ browsers. The current features are described on orgchart.compleo.ch. A Microsoft 365 subscription with SharePoint Online is required and not part of the service.

3. Trial

Each tenant may use coOrgChart free of charge for 30 days. The trial ends automatically; no subscription is created.

4. Licence

With a paid subscription, the customer receives a non-exclusive, non-transferable right to use coOrgChart in one Microsoft 365 tenant for the term of the subscription, within the number of employees of the chosen plan. The number of viewers, pages and Teams tabs is not limited. The customer may not resell, sublicense, decompile or modify coOrgChart, except where permitted by mandatory law.

5. Prices and payment

Prices are shown on orgchart.compleo.ch in EUR, excluding VAT. Purchases are processed by our reseller Creem as merchant of record; Creem’s terms of sale apply to the payment. If the number of employees exceeds the plan, the customer switches to the matching plan.

6. Term and cancellation

Subscriptions run monthly or yearly and renew automatically. They can be cancelled at any time to the end of the current period in the customer portal. Payments already made are not refunded, unless required by law.

7. Updates and support

compleo provides updates during the subscription and support by email (support@compleo.ch) on business days, in English, German and French. compleo strives to answer within one business day.

8. Customer obligations

The customer is responsible for installing coOrgChart, approving the required Microsoft Graph permissions and using coOrgChart lawfully, in particular in line with data protection law towards its employees.

9. Data protection

coOrgChart processes directory data only in the customer’s tenant and the users’ browsers. For licence checks, only the tenant ID and the licence key are sent to compleo. Details are in the privacy policy.

10. Warranty and liability

compleo develops coOrgChart with care but does not guarantee that it is free of errors or always available. compleo is liable without limitation for intent and gross negligence. Otherwise, liability is limited to the fees paid by the customer in the twelve months before the damage occurred; liability for indirect damage, lost profit and data loss is excluded, as far as permitted by law.

11. Changes to these terms

compleo may change these terms. Changes are announced to customers by email at least 30 days in advance and apply from the next subscription period.

12. Applicable law and jurisdiction

Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Sarnen, Switzerland.
